THE SLIMMER YOU SWEEPSTAKES RULES

1. NO PURCHASE NECESSARY TO PLAY OR WIN. THE PURCHASE OF ANY GOOD AND/OR SERVICE WILL NOT INCREASE A PARTICIPANT’S CHANCE OF WINNING. This sweepstakes is sponsored by Kellwood Company, 420 Fifth Avenue, 28th Floor, New York, NY 10018 and InStyle, 1271 Avenue of the Americas, New York, NY 10020 (“Sponsors”). The sweepstakes entry period starts on May 22, 2009 at 12:00 a.m. Eastern Time ("ET") and ends on June 30, 2009 at 11:59 p.m. ET. Mailed entries and e-mail entries must be received by 11:59 PM ET on June 30, 2009. Eligibility for entry into the sweepstakes will cease at the applicable time and date and all entries received thereafter will be considered disqualified and will be ineligible for participation. If Sponsors do not receive your entry for any reason, including without limitation those specified below, or if your entry is not entered correctly, the entry will be invalid and you will be ineligible to participate or win.
   
   
2. ELIGIBILITY: ONLY LEGAL RESIDENTS, WHO ARE EIGHTEEN (18) YEARS OF AGE OR OLDER, RESIDING IN THE FIFTY (50) U.S. STATES AND THE DISTRICT OF COLUMBIA, ARE ELIGIBLE TO PARTICIPATE OR WIN. SPONSORS DO NOT WARRANT THAT THIS SWEEPSTAKES IS VALID IN ANY PARTICULAR JURISDICTION. RESIDENTS OF JURISDICTIONS WHERE THIS SWEEPSTAKES IS PROHIBITED ARE INELIGIBLE TO COMPETE. Your personal information will be used in accordance with Kellwood Company’s Privacy Policy. By submitting an entry, you consent to the collection, processing, use and disclosure of the information contained in your entry according to Kellwood Company’s Privacy Policy. Each participant may enter the sweepstakes only one time. Each entry must include the name, mailing address, e-mail address (if entering via www.theslimmingsolution.com/ins), daytime telephone number, and age. If multiple entries are submitted by any participant, only the first entry received by Sponsors (as determined by the Sponsors) will be entered into the sweepstakes. An e-mail entry will be deemed to have been submitted by the owner of the e-mail account from which it was sent. For these purposes, an e-mail account holder shall mean the natural person assigned to such e-mail account by the Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with such e-mail account. Employees of Sponsors, or any of their subsidiaries, or any company retained by Sponsors to promote, administer or provide advice with respect to the sweepstakes, and members of any of their immediate families, are not eligible to participate.
   
   
3. PRIZES: (One (1) Grand Prize): All eligible participants will be competing for one Grand Prize that shall consist of (i) one (1) gift card with a retail value of two hundred fifty dollars (U.S. $250.00) to be utilized exclusively at www.theslimmingsolution.com, (ii) one (1) salon gift certificate with a retail value of five hundred dollars (U.S. $500.00) for a head-to-toe makeover provided by InStyle to include a haircut, highlights, manicure, pedicure, and hair removal, (iii) an one time personal style consult with an InStyle fashion expert with an estimated retail value of one thousand dollars (U.S. $1,000.00), (iv) an one year subscription to InStyle magazine with an estimated retail value of twenty-four dollars (U.S. $24.00), (v) a copy of InStyle’s Instant Style with an estimated retail value of thirty dollars (U.S. $30.00), and (vi) a copy of InStyle’s Style 101 with an estimated retail value of twenty-five dollars (U.S. $25.00) for a Grand Prize total estimated retail value of one thousand eight hundred twenty-nine dollars (U.S. $1,829.00). The Winner will be selected by random drawing on or about July 1, 2009, from all eligible entries received for the drawing. Within fourteen (14) days of receipt of prize notification, the Winner will be required to sign and return to Sponsors both a consent and release agreement, as well as a Federal Form W-9.
   
   In the event of non-compliance with any of the rules set forth herein, including any Prize notification returned as undeliverable, the Winner’s Prize may be forfeited and awarded to an alternate Winner. Sponsors are not responsible for, and shall not be liable for late, lost, misdirected or unsuccessful efforts to notify the Winner.
   
   The reporting and payment of all tax liabilities incurred by the Winner as a result of the sweepstakes is the sole responsibility of the Winner. All federal, state, and local laws and regulations apply. The Prizes are awarded AS IS and WITHOUT WARRANTY OF ANY KIND, expressed or implied, including, without limitation, any implied warranty of merchantability or fitness for a particular purpose. No substitution of the Prizes will be permitted, except by Sponsors, which may substitute Prizes of equal or greater value if the advertised Prizes become unavailable. The Prizes are non-transferable and may not be redeemed for cash. Odds of winning will be dependent upon the number of entries received.
   
   
4. ENTRY: There are two ways to enter. Eligible participants may enter either by (1) visiting www.theslimmingsolution.com/ins and submitting an entry by following the instructions on the website, or (2) entering by mail by printing your name, address, daytime telephone number, e-mail address, and age and mailing to: The Slimmer You Sweepstakes Entry, Kellwood Company, 420 Fifth Avenue, 28th Floor, New York, NY 10018, Attn: Marketing. A mail-in entry will be treated in the same manner as an entry received through www.theslimmingsolution.com/ins. Sponsors reserve the right in their sole discretion to reject any entry for failure to fully comply with the entry rules.
   
   
5. SWEEPSTAKES WINNERS: The name of the Winner will be posted at www.theslimmingsolution.com/ins, and the identity of the Winner can also be obtained by writing to: The Slimmer You Sweepstakes, Kellwood Company, 420 Fifth Avenue, 28th Floor, New York, NY 10018, Attn: Marketing. The Winner will be notified via certified mail, return receipt requested and/or by e-mail on or about July 15, 2009.
   
   
6. GENERAL: These rules may be obtained at www.theslimmingsolution.com/ins or by sending a self-addressed stamped envelope to: The Slimmer You Sweepstakes, Kellwood Company, 420 Fifth Avenue, 28th Floor, New York, NY 10018, Attn: Marketing, within thirty (30) days of the sweepstakes’ deadline date. Residents of Vermont may omit return postage. Questions regarding this sweepstakes may be sent to the address above. By entering the sweepstakes, you agree to these rules and all eligibility requirements and all decisions of Sponsors. By accepting the Prizes, the Winner agrees that the Sponsors and those acting under the Sponsors’ authority may use the Winner’s name, biographical information, pictures/portraits, likenesses and/or voice for advertising and promotional purposes without further consideration at the sole discretion of Sponsors, unless prohibited by law. BY ACCEPTING A PRIZE, THE WINNER AGREES THAT THE SPONSORS, AND ALL OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE HELD HARMLESS BY WINNER FOR, ANY LIABILITY, INJURY, LOSS OR DAMAGE OF ANY KIND, INCLUDING DEATH, TO PERSONS AND PROPERTY, DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE PRIZES OR PARTICIPATION IN THIS SWEEPSTAKES. All entries become the sole property of Sponsors and none will be returned. If for any reason the sweepstakes is not capable of running as planned, including due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, human error or any other causes beyond the control of Sponsors that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the sweepstakes, Sponsors reserve the right, in their sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the sweepstakes and award the Prizes from among all eligible entries received prior to cancellation or termination. Sponsors assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsors are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsors on account of technical problems or traffic congestion on the Internet or at any website, any combination thereof, or otherwise, including any injury or damage to any participant’s, or any other person's, computer related to or resulting from participation or downloading any materials in the sweepstakes. CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE www.theslimmingsolution.com OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsors reserve the right to verify the eligibility qualifications of the Winner. This sweepstakes is governed by Missouri law. By entering the sweepstakes, you have agreed to all the rules and conditions of the sweepstakes as set forth herein.
   
   
7. RIGHT OF NON-PARTICIPATION: Pursuant to federal law, any participant has the right to notify the Sponsors that he/she does not wish to be contacted by the Sponsors regarding any future sweepstakes or contest or mailings and that Sponsors may not use any information provided to it by such participant for any purposes other than as needed for this sweepstakes.
